James E. Hyman

Mr. Hyman is Chairman, Chief Executive Officer and President of Cornell Companies, Inc. and brings more than 20 years experience in business leadership having had responsibilities for finance, operations, mergers and acquisitions, and restructuring businesses across multiple industries. Prior to joining Cornell, Mr. Hyman was Senior Managing Director at FTI Palladium Partners, an interim management firm. He was also a partner with Sandhurst Capital, a merchant bank focused on the financing and restructuring needs of small cap companies. Before Sandhurst, Mr. Hyman

was Executive Vice President at Starwood Hotels & Resorts Worldwide, where his responsibilities included the design and implementation of Six Sigma globally, as well as supervising Starwood's timeshare business, its design and construction activities and Strategic Sourcing.
Previous to his work with Starwood, Mr. Hyman was President of a General Electric subsidiary in Europe and led business development for all of GE Capital's equipment management businesses globally. Mr. Hyman joined GE Capital from Sequa Corporation, an industrial conglomerate, where he led corporate development. He spent seven years with McKinsey & Company leading engagements for industrial and aerospace clients. Mr. Hyman started his career at JPMorgan, where he was an Assistant Treasurer in New York and London.
Mr. Hyman received an MBA with Distinction from the Harvard Business School and an AB with honors from the University of Chicago. He is married with three children.

John R. Nieser
Senior Vice President, Chief Financial Officer and Treasurer

As Chief Financial Officer, Mr. Nieser is responsible for all finance/control functions. This entails the analysis and negotiation of acquisitions, structure of the Company's equity and debt financing, and interfacing with Wall Street and investors. The responsibilities of Treasurer involve all aspects of the Company's financings, acquisition due diligence, Securities and Exchange Commission filings, treasury management and income tax planning and administration. Mr. Nieser has more than 20 years of experience in financial management. Prior to joining Cornell in April 2004, he served

as Controller for a number of organizations including GE Aero Energy Products. He also served Guardian Savings and Loan Association as senior vice president, chief financial officer and treasurer.
Mr. Nieser, a C.P.A., earned a B.A. degree in Accounting from the University of Houston. He is a member of AICPA and TSCPA.

Cathryn L. Porter
Senior Vice President, General Counsel and Corporate Secretary
Ms. Porter is responsible for managing the Company’s legal affairs.
Before joining Cornell in January 2009, Ms. Porter was Of Counsel with the law firm Thompson & Knight LLP in Houston, Texas. From 2004 through 2006, Ms. Porter was General Counsel and Corporate Secretary of Nevada Gold & Casinos, Inc. Between 1991 and 2001, Ms. Porter was General Counsel for Pacific Southwest Bank, and then General Counsel and Corporate Secretary for the bank’s holding company, Pacific USA Holdings Corp. Ms. Porter was an Associate and then a Partner in the law firm of Brown, Parker & Leahy (merged into Thompson & Knight LLP) from 1982 through 1991.
Ms. Porter holds a Bachelor of Science degree in Criminology and Corrections from Sam Houston State University and a Doctor of Jurisprudence (JD) from the University of Houston Law Center.
Patrick N. Perrin
Senior Vice President, Chief Administrative Officer

Mr. Perrin has more than 17 years experience in the risk management and human resources field. He is responsible for overseeing all Human Resource and Risk Management activities. Mr. Perrin previously served as Corporate Director of Risk Management, Employee Benefits and Retirement Plans for Tracor, Inc. There, he managed all aspects of employee benefit programs, including self-insured group medical/dental programs, self-funded HMO's and life and disability insurance plans for 10,500 employees in over 42 states and foreign operations. He also developed the risk management program for this $1.3 billion |
electronics and defense manufacturing company. Mr. Perrin has been responsible for strategic design, cost effectiveness and administration of employee benefit programs including employee health and welfare benefit plans, 401(k) and defined benefit pension plans and executive retirement plans. He earned a B.B.A. from the University of Texas as well as a M.B.A. from Baylor University.
Benjamin E. Erwin
Senior Vice President, Corporate Development

Mr. Erwin joined Cornell in January 2002. He currently manages Cornell's corporate development department, including the company's proposals to customers for new business, its political affairs and the pricing for all material contracts. In addition, Mr. Erwin is responsible for asset management, including the company's construction and real estate portfolio. He is also extensively involved in corporate strategy and the company's overall portfolio review.

Michael L. Caltabiano
Senior Vice President, Adult Secure Division

Mr. Caltabiano oversees all facilities that provide secure correctional services for sentenced adult offenders. Mr. Caltabiano possesses over 29 years of experience in federal corrections and detention, ranging from front-line duty in Leavenworth, Kansas to agency management at the Bureau of Immigration and Customs Enforcement, where he served as Deputy Assistant Director. His extensive background in the industry enables Mr. Caltabiano to successfully partner with the company's Adult Secure customers at the federal, state, and local levels. Caltabiano also ensures compliance with contractual regulations and maintains successful relationships with the communities in which our secure facilities operate. Mr. Caltabiano received a M.A. in Leadership and Administration from the State University of New York and a B.A. in Criminal Justice from Park College.
Jonathan P. Swatsburg
Senior Vice President, Abraxas Youth & Family Services Division

Mr. Swatsburg is responsible for the development, management and regulatory compliance of all programs serving youth. The programs include secure and open treatment facilities for delinquent and dependent youth, shelter care, and detention and community-based prevention, treatment, and aftercare services. Under Mr. Swatsburg's leadership, the juvenile firesetter program at Cornell Abraxas Youth Center became nationally recognized by the U.S. Fire Administration. Mr. Swatsburg also created and marketed Cornell's Non-Residential Detention (NRD) and Non-Residential Treatment (NRT) programs. He has |
served as the program director of community-based, residential, wilderness and behavioral health youth programs during his employment with Cornell.
Mr. Swatsburg has 12 years experience in the field of youth services. He completed his Bachelor of Science with a dual major in Psychology Criminal Justice and his Master of Social Work at the University of Pennsylvania.

Mr. Batzer, 63, has been with Wynnefield Capital, Inc., where he currently serves as a Portfolio Manager, since 1999. From 1991 to January 1999, he was Chairman of the Board and CEO of Diagnostic Health Services. From 1981 until 1988, he was director and executive committee member of Simmons Airlines, Inc., a publicly traded regional airline. From 1981 through 1991, Mr. Batzer was President of General Hide and Skin Corporation, a worldwide commodity trading organization. Mr. Batzer received his BSE from the Wharton School at the University of Pennsylvania and his MBA from the University of Arizona.
Anthony R. Chase
Lead Director
Mr. Chase joined Cornell’s Board of Directors in October 1999. He is chairman and CEO of ChaseCom Limited Partnership and president and CEO of Faith Broadcasting, L.P. He is also a professor of law at the University of Houston Law Center. Chase has served as a director since October 1999.
Richard Crane
Director, Nominating/Governance Committee Chairman
Mr. Crane is an attorney at law in private practice. He has represented individual, corporate and government clients in corrections and sentencing matters. He has also been a consultant in more than 30 private corrections privatization projects.
Zachary R. George
Director
Mr. George has been a Portfolio Manager of FrontFour Capital Group LLC, since January 2007. Prior to joining FrontFour Capital Group LLC, Mr. George was a Senior Investment Analyst of Pirate Capital LLC, covering private corrections and other industries, from 2004 to 2006. From 2002 to 2004, Mr. George worked at Mizuho Corporate Bank LTD where he served as an Officer in Portfolio Management, assisting in the management of a $50 billion domestic loan portfolio and originating credit default swap and bank debt trade recommendations. Mr. George received his JD from Brooklyn Law School. Mr. George currently serves as the Lead Independent Director of PW Eagle, Inc.
Mr. Goodwin is a retired partner of Gibbons, Goodwin, van Amerongen, an investment banking firm. During his 18-year tenure with the firm, he organized management buyouts and purchased businesses with a total value of approximately $7 billion.
Andrew R. Jones

Mr. Jones has been the Managing Member of North Star Partners, LP since 1996. From 1988 to 1995, Mr. Jones was a Managing Director at Tweedy, Browne, where he was responsible for identifying undervalued securities in domestic and international markets. From 1986 to 1988, Mr. Jones was a Securities Analyst for Glickenhaus & Company. He is a Chartered Financial Analyst and is a member of the New York Society of Securities Analysts. Mr. Jones received his MBA from the University of Chicago.
Alfred Jay Moran, Jr.
Director, Audit Committee Chairman
Mr. Moran is chairman and CEO of Moran Group, LLC, a turnaround, value creation consulting firm he founded in 2003. Throughout his career, Moran has been responsible for the turnaround or value enhancement of more than 50 companies in many industries
D. Stephen Slack

Mr. Slack joined Cornell’s Board of Directors in March 2003. He is president and chief executive officer of South Bay Resources, L.L.C., an energy exploration company.
